OUTLINE OF THE PROJECT

The parent company of the client determined to take over a Japanese software company for business expansion. N&M had a direct contact with personnel in charge of takeover at the parent company and negotiated with the acquiree. N&M provided advisory services on the potential tax risks and costs the acquirer might have borne.

Problem-solving process and results

N&M conducted comparative investigation into prospective cash inflow after tax which each stockholder would receive through the stock transfer acquiree was proposing and asset transfer the acquirer wanted to carry out (the stock holders of the acquirer were more than one including a venture capital). N&M made the first report to the acquirer by teleconference and subsequently submitted the final report in English.
N&M prepared the report based on direct contacts with the acquiree.
N&M continued to provide tax advices on vertical integration procedure after the takeover was finalized.
